CSR secures approval for acquisition by Saint-Gobain

Australia: Shareholders in CSR have voted in favour of the company’s proposed acquisition by France-based Saint-Gobain for US$2.87bn.

CSR chair John Gillam said “The attractive value creation for shareholders arising from the planned acquisition by Saint-Gobain is a clear validation of the strategy and its successful execution by the CSR team under Julie Coates’ leadership. Organisations like Saint-Gobain don’t just casually start trading in a new country if they haven’t got a productive capacity to back up what they’re selling, so they’re looking to participate in this economy by acquiring at a very strong price.”

Etex to acquire BGC’s lightweight building materials businesses

12 October 2023

Australia/New Zealand: Belgium-based Etex has signed an agreement with building materials company BGC to acquire the latter’s gypsum and fibre cement businesses. The gypsum business consists of wallboard, plasters, compounds and cornice production units, and includes the Perth gypsum wallboard plant in Western Australia. BGC also operates nine warehouses across Australia and New Zealand. Etex says that the deal expands its activities in the ‘attractive’ local market, with significant growth opportunities. Finalisation is expected in early 2024.

Etex CEO Bernard Delvaux said “This deal is a strategic opportunity for Etex to complement our footprint in Australia and further increase the accessibility of our products and services for customers. This will both reinforce our gypsum wallboard offering and position us well in the growing fibre cement activities through a broad product range and good channel access.”

Saint-Gobain North America awards solar power supply contract to TotalEnergies

North America: Saint-Gobain has signed a 100MW solar power purchase agreement (PPA), called Danish Fields, with TotalEnergies. The Danish Fields PPA will supply Saint-Gobain North America with solar energy for 15 years, commencing in 2024. Saint-Gobain says that it expects the PPA to eliminate 90,000t/yr of CO2 emissions across its operations. This is the group’s third deal of its kind.

Saint-Gobain North America CEO Mark Rayfield said “With this agreement, Saint-Gobain North America will further reduce its CO2 emissions, demonstrating how fast the manufacturing industry can transform when long term solutions are at hand. This renewable energy project is a new milestone on the way to meeting Saint-Gobain’s commitment to reduce Scope 1 and 2 CO2 emissions by 33% by 2030 compared to 2017, and to reach carbon neutrality by 2050.”

Knauf to acquire upcoming Newport gypsum wallboard plant from Gypfor

UK: Portugal-based Gypfor has agreed to sell its upcoming Newport gypsum wallboard plant to Germany-based Knauf. Gypfor began building the plant at Associated British Ports’ Port of Newport in March 2021. Knauf estimates that it will commission it later in 2022, and commence full operations in 2023. The plant will be equipped with solar and wind power plants, as well as on-site gypsum wallboard recycling facilities. 54 people will be employed in gypsum wallboard production at the site. Knauf says that the addition of the new plant to its existing facilities at Immingham, Lincolnshire, and Sittingbourne, Kent, will enlarge its UK capacity by 20%.

Knauf’s UK managing director Ian Stokes said “This new plant will significantly increase our ability to service customers throughout the UK, and particularly those in South Wales, the Midlands and the South-West of England. It is a very exciting move for Knauf and, following recent investment in increasing the capacity of Knauf Insulation, reflects the confidence of the Knauf Group in the UK construction sector.”

Saint-Gobain and Dalsan to merge Turkish gypsum wallboard operations

Turkey: France-based Saint-Gobain and building materials producer Dalsan have signed a joint-venture agreement, pursuant to which they will merge their gypsum wallboard operations in Turkey. The merge will give the new joint venture a gypsum wallboard production capacity of over 100Mm2/yr. It will also see the companies’ plaster production consolidated under their new subsidiary.

The partners said “This partnership will offer Turkish customers access to the most innovative and complete portfolio of light and sustainable solutions for the construction and renovation of the building envelope, as well as internal partitioning.”

ML Environmental Group secures Scott Equipment Company distribution contract

US: ML Environmental Group has secured a strategic partnership and exclusive US distribution agreement with gypsum wallboard recycling technology producer Scott Equipment Company. Scott Equipment Company produces the GypStream paper backing removal system. Together, the companies say that they will expand the gypsum wallboard recycling solutions offering available to US customers.

Scott Equipment Company business development and product marketing manager Kevin Pedretti said "Our recycling systems, including both the food waste organics recovery system and the gypsum wallboard separation and recovery machines, position nicely with ML Environmental Group's vision to offer their customers an end-to-end solution.” He continued "We have been very impressed with the leadership and growth of ML Environmental and look forward to making the world a better place with this partnership."

Saint-Gobain to acquire IMPAC

22 October 2021

Mexico: Saint-Gobain has agreed to acquire construction chemicals producer IMPAC. The company operates a construction chemicals plant in Monterrey, where it employs 630 people. The takeover aims to strengthen Saint-Gobain’s Latin American regional position and to accelerate its growth by growing its light and sustainable construction product range. The transaction is due to close in late 2021 or early 2022.

CatchMark amends wood supply agreement with Georgia-Pacific

26 June 2020

US: CatchMark Timber Trust and its Triple T joint venture have amended their wood supply agreement with Georgia-Pacific to achieve “market-based pricing on timber sales.” Under the amended deal, Triple T also will be able to increase reimbursement for extended haul distances, sell timber to other third parties and expand its ability to sell large timberland parcels to third party buyers. The supply agreement between Triple T and Georgia-Pacific has also been extended by two years from 2029 to 2031, with optimised harvest volume obligations to enhance and preserve long-term asset value. Triple T has paid Georgia-Pacific US$145m to make these changes.

CatchMark invests in 1.1 million acres of East Texas timberlands through Triple T and acts as the general partner of the venture on behalf of a consortium of institutional investors. Georgia-Pacific produces paper-based consumer products and building materials, including gypsum wallboard.

Boral updates market on USG Boral situation

16 April 2020

Australia: Boral has updated the market on its transaction with Knauf in relation to its USG Boral joint venture. On 19 March 2020, Boral announced that its view was that the Australian Competition and Consumer Commission (ACCC) was unlikely to approve the call option in relation to the Australian and New Zealand business. In further discussions between Boral and Knauf, it has now become clear that obtaining the necessary regulatory approvals required to allow the transaction to be implemented as signed in August 2019 is not achievable by the 30 June 2020 deadline. Other conditions to the transaction also remain outstanding.

As a result, Boral and Knauf will consider a range of potential options, with Boral’s objective being to target a cash neutral transaction rather than a transaction with a significant funding requirement for Boral. Discussions are at a preliminary stage and any revised transaction remains subject to agreement between Boral and Knauf, and ultimately will also require the approval of regulators including the ACCC and New Zealand Commerce Commission (NZCC). Given this, the company’s pre-existing US$400m acquisition bridge facility, put in place for the purpose of completing the transaction with Knauf, was allowed to lapse.

GMS purchases ASI Building Products

08 August 2017

US: Gypsum Management & Supply, Inc. (GMS), a distributor of gypsum wallboard, suspended ceiling systems and interior construction products, has acquired ASI Building Products, LLC, a provider of ceilings and building products. Both the companies are based in the US. Following the transaction, ASI Building Products majority owner and industry veteran Dave Mayer, along with the entire ASI team, will continue on with GMS going forward.

The acquisition will allow GMS to expand its presence in Michigan, with a portfolio of quality products and reinforces its commitment to customer service.
