Two GMS directors win US corporate board awards
21 September 2023US: Two members of GMS’ board of directors, Peter Browning and Teri McClure, have won national awards for corporate leadership. Browning won the National Association of Corporate Directors’ Lifetime Achievement Award, which recognises commitment to the improvement of corporate governance. Meanwhile, McClure won DirectWomen’s Board Excellence Award for women lawyers who have served with distinction.

Continental Building Products shareholder mounts legal challenge to Saint-Gobain merger
13 January 2020US: A shareholder in Continental Building Products is taking legal action against the company over its acquisition by France’s Saint-Gobain on 14 October 2019. The claimant alleges that company withheld necessary information from shareholders prior to the transaction, in violation of Securities and Exchange Commission regulations.
Gypsum Resources files for bankruptcy
06 August 2019US: Gypsum Resources has filed for Chapter 11 bankruptcy at the Nevada US Bankruptcy Court. It is aiming to reorganise the business amid financial and operational difficulties, according to the Las Vegas Reiew Journal newspaper. The company operates a gypum mine at Blue Diamond Hill but it has been trying to develop a residential housing project at the site for over a decade. The development has been opposed by local environmentalists.
Company president James Rhodes blamed the bankrupty decision on ambitious growth plans, disrupted mining operations due to equipment failure and bad weather. He was optimistic that market demand for gypsum is steady and that the company will report positive net income later in 2019. The mine supplies gypsum to the wallboard, cement and agricultural industries.
Taishan Gypsum proposes to pay additional US$248m on ongoing US defective wallboard case
01 August 2019US: China National Building Material Company (CNBM) has proposed paying US$248m in one of its on-going legal cases related to alleged defective gypsum wallboard sold by Taishan Gypsum. This latest settlement agreement covers plaintiffs not previously covered by the Amorin Case, those in the Brooke Case and all other property owners with Chinese gypsum board alleged to be attributed to Taishan and connected partners. The settlement is dependent on all parties signing the agreement.
US: Beijing New Building Material (BNBM), Taishan Gypsum and Taian Taishan Plasterboard have reached a settlement agreement of up to US$27.7m in one of its on-going legal cases related to alleged defective gypsum wallboard. This agreement is with not more than 498 plantiffs connected to the Amorin case via the Southern District Court of Florida. Following receipt of the payment the plantiffs have agreed to waive all liabilities with respect to Taishan Gypsum.
US: Taishan Gypsum and its owner China National Building Material Company (CNBM) have reached a US$1.98m settlement in one of its on-going legal cases related to alleged defective gypsum wallboard. The Chinese manufacturer says that it has reached settlement with the plantiffs. The case is a third-party claim initiated by original claimants Venture Supply and Porter-Blaine. Following receipt of the payment the plantiffs have agreed to waive all liabilities with respect to Taishan Gypsum.
US: Knauf has complained about USG’s decision to block its request for the company’s current stocklist materials that would allow it to communciate with other USG shareholders. The German competitor to USG and minority shareholder said in a letter to the board of USG said, “Questioning Knauf’s ownership of USG stock and whether we have ‘proper purpose’ for requesting these materials are the tactics of an entrenched management trying to thwart our right to communicate with fellow stockholders in connection with the annual meeting.” Knauf also threatned legal action in Delware if USG failed to provide with the information it desired.
USG rejected a US$5.9bn bid by Knauf to take it over in late March 2018. Knauf subsequently sent a letter to USG’s shareholders asking them to vote against director nominations in protest against the rejection.
US: Taishan Gypsum and its owner China National Building Material Company (CNBM) have reached a US$1.38m settlement with Meritage Homes of Florida. According to the terms of the agreement Taishan and its fellow subsidiary Beijing New Building Material (BNBM) have agreed to pay Meritage in instalments by the end of March 2018. In return Meritage has agreed to withdraw all claims and allegations against Taishan Gypsum and BNBM following full receipt of the payment.
National Gypsum, Eagle Materials and PABCO Building Products agree to US$125m settlement in competition claim
04 January 2018US: National Gypsum, Eagle Materials and PABCO Building Products have agreed to pay US$125m to settle claims that they fixed the price of gypsum wallboard. A preliminary motion to approve the settlement is scheduled to be filed in January 2018, said David Young, a partner at Cohen Milstein Sellers & Toll, a lead plaintiffs’ firm in the litigation, according to the Legal Intelligencer newspaper. The legal firm and others are representing wallboard customers, including distributors and installers.
The three wallboard producers are the last of seven defendants of a lawsuit that started in 2013. Previous deals with Lafarge North America, Temple Inland and USG bring the total amount of settlements for direct purchasers in the case to over US$190m. A seventh company, CertainTeed, was granted summary judgment in 2016.
US: Taishan Gypsum and its owner China National Building Material Company (CNBM) say they have settled with Lennar Homes, LLC and US Home Corporation in one of its lawsuits about alleged defective gypsum wallboard. Fellow subsidiary Beijing New Building Material (BNBM) and Taishan Gypsum have agreed to pay the companies concerned US$0.5m and US$6m respectively in instalments by 31 July 2017. In return the plaintiffs have agreed to drop all claims and allegations within three days of receipt of the payment.
